CONSTITUTION FOR CHESSINGTON DISTRICT RESIDENTS ASSOCIATION


NAME


That the Association shall be called THE CHESSINGTON DISTRICT RESIDENTS ASSOCIATION.


OBJECTIVES


a)To promote and safeguard the interests and well being of the residents of the Chessington area.

b)The association shall be non-party in politics and non-sectarian in religion.


MEMBERSHIP


a)Membership shall consist of ordinary, associate and affiliated members.

b)That Ordinary Membership shall be open to the residents of Chessington area, at the age of 18 years and over, upon payment of an annual subscription, that will be confirmed at each AGM.

c)That Associate Membership is open to non-resident well-wishers, at the discretion of the Central Committee, upon payment of an annual subscription that will be confirmed at each AGM.

d)That Affiliated Membership is open to independent voluntary organisations, at the discretion of the general committee, upon payment of an annual subscription that will be confirmed at each AGM.


TERMINATION OF MEMBERSHIP


The General Committee shall have the right, for good and sufficient reason, to terminate the membership of an individual or an affiliated body, provided that the individual or person representing the affiliated body, shall have the opportunity to be heard by the General Committee before a decision is made.



COMMITTEE STRUCTURE


a)The management of the Association shall be vested in a General Committee consisting of not more than 30 ordinary members of the Association who shall be elected at the Annual General Meeting by the ordinary members.

b)The General Committee shall meet not less than four times a year.   The committee shall elect the following Executive Officers:

Minute SecretaryHon. Treasurer


from within its membership.

c)The General Committee shall have the power to establish any sub-committee as is deemed necessary and to terminate its activities.

d)There shall be an Executive Committee responsible to the General Committee for the day to day running of the Association.

e)The Executive Committee shall consist of Executive Officers and Chairmen of the Sub-Committees established by the General Committee.



ANNUAL GENERAL MEETING


Once each year the General Committee shall convene an Annual General Meeting at which all paid up members shall be entitled to attend and vote.


An annual report of the General Committee and an annual audited statement of accounts shall be submitted and presented for adoption.


The General Committee shall be elected.


An Auditor or Auditors shall be appointed.



SPECIAL MEETINGS


At any time, having given 21 days notice, the Chairman or Hon. Secretary of the General Committee may call a Special General Meeting.

Upon receipt of a request, giving reasons, signed by not less than 20 paid up members, the General Committee may call a Special General Meeting within 21 days.



RULES OF PROCEEDURE AT ALL MEETINGS



Shall be laid down in the format of Standing Orders approved by the General Committee.



FINANCE



a)All monies raised by or on behalf of the Association shall be applied to further the objectives of the Association and for no other purpose.

b)The Honorary Treasurer shall keep proper accounts of the finances of the Association.

c)A qualified auditor or auditors, who shall be appointed at the AGM, shall audit the accounts at least once a year.

d) The General Committee to the AGM shall submit an audited statement of accounts for the current financial year.

e)The financial year shall run from 1st May to 31st April.

DISOLUTION


If the General Committee by a simple majority decides at any time it is necessary or advisable to dissolve the Association, it shall call a meeting of all members of the Association who have the power to vote.   Not less than 21 days notice stating the terms of the resolution to be proposed shall be given.


If such a decision shall be confirmed by a simple majority of those present and voting at such a meeting, the General Committee shall have the power to dispose for charitable purpose, any assets remaining after the satisfaction of any proper debts and liabilities.



ALTERATION TO CONSTITUTION



The constitution shall not be altered except at an annual General Meeting or Special General Meeting.   Any proposed alteration shall be notified to members when giving notice of the said meeting.   Any change shall require a simple majority of those present and voting at such a meeting.



INTERPRETATION AND APPLICATION OF THE CONSTITUTION


The General Committee shall be the sole arbiter on all matters of interpretation and application of the above constitution.
